The De-SPAC Scorecard: Q3 2026

What changed in the SPAC merger market in the third quarter of 2026, and what we are watching into year-end

In the third quarter of 2026, 30 SPAC mergers were announced, 11 were completed, and 18 were terminated or liquidated. One of the 11 completed de-SPACs trades above its $10.00 IPO price. Across all 35 SPAC mergers completed in 2026, four (11%) trade above $10, slightly below the 15% historical rate across 699 de-SPACs since 2010.

The De-SPAC Scorecard is AUM Advisors' quarterly review of every SPAC merger announced or completed, measured against the $10.00 public shareholders paid. The Q3 2026 edition covers three changes in the market: the repricing of quantum computing and AI-infrastructure de-SPACs alongside their public peers; the shift in deal financing from common-stock PIPEs to convertible instruments; and an announced pipeline of 119 pending deals priced, almost without exception, at the cash in trust. The quarter in numbers

Thirty SPAC mergers were announced in Q3 2026, 11 were completed, and 18 deals were terminated or their SPACs liquidated. One of the 11 Q3 completions trades above its $10.00 IPO price. For the year, 4 of 35 completed de-SPACs (11%) are above $10, against a 15% long-run rate across 699 de-SPACs since 2010.

The backdrop: risk appetite left small caps

The Fed raised rates 25bp on September 16, its first move of 2026, taking fed funds to 4.00%. The 10-year Treasury rose from 4.4% to 5.3%, a 19-year high, and WTI crude topped $100 on Strait of Hormuz disruption. The S&P 500 gained 5% while the Russell 2000 fell 6%, U.S. IPO proceeds excluding SK hynix were $6.2 billion, and IonQ, Rigetti and D-Wave fell 8% to 24% in the quarter.

What changed: the premium left deep tech

First-half de-SPACs trading above $10 fell from 7 in July to 3 in October. Horizon Quantum went from +138% to +25%, Xanadu from +12% to -70%, and Boost Run (AI infrastructure) from +198% to -11%. Suncrete (concrete) went from +89% to +1%. The quantum de-SPACs repriced with their public peers; the one that held was a consolidator with earnings.

Committed capital showed up in life sciences

Freenome closed in July with a $240 million common-stock PIPE at $10.00 from crossover funds and 25% redemptions, and trades 18% above $10. Talawar Therapeutics carries the largest committed common PIPE in the pipeline at $225 million, and Oak Hill Bio announced a $55 million PIPE from a twelve-name biotech syndicate buying common at $10.00. Three data points, not yet a trend.

What changed: converts replaced common stock

The median Q3 redemption rate was 92%, turning $2.1 billion of trust into $347 million. Only 2 of 11 closings were funded with common stock at $10.00. The five closings funded with $12 convertibles trade between -33% and -81%.

What changed: the pipeline is priced at cash

Twenty-three of the 30 Q3 announcements trade within 2% of cash in trust, and none more than 1% above it. The median premium to cash across Q3 announcements is -1.4%. Agility Robotics' premium fell from +50% in July to +4% in October.

Q3 announcements: geography and financing

The 30 announced deals carry $280 million of committed common equity against $980 million of convertibles. International targets were 37%, down from 43% in H1; five of the 30 are space companies and none are quantum. Q3 saw 11 terminations and 7 liquidations, with 119 deals pending.

League tables

Among financial advisors, Cohen & Company Capital Markets leads year to date with 28 mandates, followed by Cantor Fitzgerald (23, and 9 in Q3) and BTIG (12). Among law firms, Loeb & Loeb leads with 17 year to date and 10 in Q3, followed by Ellenoff Grossman & Schole (14).

What we are watching into year-end

Whether Q4 charter expirations turn 18 Q3 terminations into a wave; whether a quantum, fusion or space deal can raise a $100 million-plus PIPE at $10.00; whether life sciences becomes the sector; how the $12 converts from July and August closings trade once they become sellable; and whether Agility Robotics ($200 million PIPE) and Talawar ($225 million) can carry a strong book through a weak tape.
